Welcome to Aperix ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, engineering catalogs, Request for Quote (RFQ) portals, and any commercial transactions, parts supply, or on-demand procurement services provided by Aperix to your organization ("Client," "you," or "your").

By accessing our website, creating a client profile, or issuing a Purchase Order (PO) to us, you agree to be bound by these Terms. If you do not agree to these Terms, you must cease using our platform and services immediately.

1. Business-to-Business (B2B) Status

Aperix operates strictly as a Business-to-Business (B2B) entity. By engaging our services or purchasing parts, you represent and warrant that you are acting on behalf of a validly registered corporate entity, commercial enterprise, or sole proprietorship, and that the components purchased are intended for commercial, industrial, or institutional use only.

2. Quotations, Pricing, and Orders

  • Quotations: All prices provided via our website, RFQ portal, or direct sales correspondence are valid for the period explicitly stated on the quote. If no period is stated, quotes expire automatically after fourteen (14) calendar days due to market fluctuations in industrial raw materials.

  • Order Acceptance: The receipt of an order number or an automated email confirmation does not constitute acceptance of an order. We reserve the right, at our sole discretion and at any time, to accept or decline an order, or to limit order quantities due to stock availability, supply chain disruptions, or technical pricing errors.

  • Pricing Updates: We reserve the right to adjust list pricing for industrial electrical parts at any time without prior notice to account for manufacturer increases, shifting freight tariffs, or currency fluctuations.

3. On-Demand Sourcing Services

  • Sourcing Specifications: When utilizing our specialized on-demand sourcing services for rare, custom, or obsolete components, the Client is solely responsible for providing precise engineering schematics, manufacturer part numbers (MPNs), and technical tolerances. Aperix is not liable for component mismatches resulting from inaccurate client specifications.

  • Non-Cancellable, Non-Returnable (NCNR): Unless explicitly agreed upon in writing prior to procurement, all custom, specialized, or outsourced components acquired through our on-demand sourcing channels are designated as NCNR (Non-Cancellable, Non-Returnable). Once a sourcing order is confirmed and sent to our global manufacturing network, the Client is legally committed to full payment.

4. Payments, Invoicing, and Taxes

  • Payment Terms: Payment terms are specified on the official corporate invoice (e.g., Cash on Delivery, Net 30, Advanced Wire Transfer).

  • Late Payments: Overdue balances are subject to a late payment interest fee calculated at 1.5% per month (or the maximum rate permitted by local law) from the due date until paid in full, along with any collection costs incurred by Aperix.

  • Taxes and Duties: Unless explicitly stated otherwise, all prices are exclusive of sales taxes, value-added taxes (VAT), import duties, custom clearances, and withholding taxes. The Client is fully responsible for paying all applicable government levies associated with their shipment.

5. Shipping, Delivery, and Risk of Loss

  • Shipping Terms: Unless otherwise agreed in writing, all international and domestic shipments are shipped under EXW (Ex Works) or FOB (Free on Board) terms from our shipping hubs or manufacturing facilities.

  • Risk of Loss: Risk of loss or damage to the industrial electrical parts passes to the Client immediately upon delivery of the goods to the carrier/freight forwarder.

  • Delivery Timelines: Stated delivery dates are informed estimates based on historical logistics data. Aperix is not liable for operational losses, manufacturing delays, or financial damages resulting from unexpected freight or customs delays.

6. Warranty and Liability Limitations

  • Manufacturer Warranties: Industrial electrical parts supplied by Aperix carry only the warranties explicitly provided by their respective original equipment manufacturers (OEM). Aperix does not offer extended independent warranties on hardware components unless specified in writing.

  • Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Aperix, its directors, or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages—including but not limited to loss of profits, facility downtime, equipment failures, business interruption, or data loss—arising out of or related to the use of our supplied parts or procurement services. Our aggregate liability shall never exceed the total amount paid by the Client to Aperix for the specific order giving rise to the claim.

7. Intellectual Property

All content featured on our platform, including company logos, custom acrostic identifiers, graphics, web code, parts catalogs, and technical databases, is the exclusive intellectual property of Aperix and is protected by applicable trademark, copyright, and trade secret laws.

8. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by, construed, and enforced in accordance with the laws of the jurisdiction in which the operating legal entity of Aperix is registered. Any legal actions or disputes arising under these Terms shall be resolved exclusively in the competent courts of that jurisdiction.

9. Modifications to Terms

We reserve the right to amend, update, or replace any portion of these Terms and Conditions at any time. The updated date at the top of this document will reflect the latest version. Your continued relationship with our platform or placement of orders following changes constitutes binding acceptance of the new Terms.
